Deep Work Network Ltd, Independent Contributor Agreement

1. Information

The date of this Agreement is ______________________ (the "Signing Date")

This document sets out the terms of your services and relationship with the Company.

The contract is kept as simple as possible.

2. Non-Work and Rates

Any work done is on a collaboration basis. There is no expectation of reward or payment for services. Unless agreed otherwise on a project by project basis.

The contributor agrees any contribution is given autonomously and not at the direction of Deep Work. Having full control over working time, methods and decisions making.

Any costs of services performed, and expenses incurred to provide any service, are the sole responsibility of the contributor.

3. Status and substitution

The relationship between Deep Work and the contributor will be that of "community contributor" which means that the Consultant is not the Client's employee, freelancer, consultant, worker, agent or partner, and the contributor will not give the impression that he/she is.

If the contributor is paid for work by Deep Work, they are no longer a contributor to that specific piece of work. For example, completing a pre-agreed and budgeted specific task outside of the standard collaboration or shadowing process. The contributor can identify as a freelancer or contractor for the specific work if they so wish. In this case, the relationship will be that of "independent contractor" which means that the Consultant is not the Client's employee, and they will not give the impression that he/she is. If the contributor becomes a contractor, the terms of this agreement as a contributor still apply.

4. Confidential Information

This clause is not about intellectual property. You are free to do as you wish, e.g. create a product or service, from information gained working with Deep Work Network Ltd.

In certain cases, Deep Work Network Ltd. will share confidential information about us and/or our clients. This information must be kept confidential along the following terms:

Confidential information (the "Confidential Information") refers to any data or information that:

• Deep Work Network Ltd informs is confidential;

• any data, names, references or information relating to a client, or potential client of Deep Work,

• would be reasonably considered to be private or proprietary property to Deep Work and/or it's clients, that is not generally known and where the release of that Confidential Information could reasonably be expected to cause harm to Deep Work and/or it's clients.

The Contributor agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which the Contributor has obtained, except as authorised by the Client or as required by law.

The Contributor must not, either directly or indirectly, whether on its own account or on behalf of another person or entity, solicit or enter into any business contract, business arrangement or business dealings with any Deep Work Network Ltd clients or potential clients using information obtained from collaborating. Unless with prior agreement.

The obligations of confidentiality will apply during the term of this contract and will survive indefinitely upon termination of this agreement.

5. General

If either the Client or the Contributor wants to change this Agreement, the change must be in writing and must be signed by both of them.

This Agreement may be signed separately by the Client and the Contributor, in which case the separate copies will together be taken as the whole Agreement.

This Agreement and any dispute or claim relating to or connected with it (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

The Company and the Client agree that the courts of England and Wales are the only place where disputes or claims relating to or connected with this Agreement (including non-contractual disputes or claims) may be decided.
